GREY SKY GRAPHICS
SERVICE AGREEMENT

This Service Agreement (“Agreement”) governs the purchase and use of creative services, subscription plans, digital products, templates, and other products or services offered by Grey Sky Graphics through greyskygraphics-brandingstudio.com (the “Website”).
This Agreement is entered into between Grey Sky Graphics (“GSG,” “Grey Sky Graphics,” “Studio,” “we,” “us,” or “our”) and the individual or entity purchasing or contracting our products or services (“Client,” “Customer,” “you,” or “your”).
By completing a purchase, subscribing to a plan, submitting payment, approving a proposal, or otherwise engaging Grey Sky Graphics through the Website, you acknowledge that you have read, understood, and agreed to this Agreement.
1. OUR SERVICES
Grey Sky Graphics provides creative services and digital products that may include:
- Brand Design Support subscriptions
- Graphic design
- Brand applications
- Presentations and decks
- Brochures and catalogs
- Corporate materials
- Advertising materials
- Packaging and label design
- Editorial materials
- Digital assets
- Branded merchandise artwork
- Templates and digital resources
- Other creative services made available through the Shop
The exact scope, deliverables, limitations, price, and timeline of each purchase are determined by the product page, selected plan, Design Menu & Scope, Order Form, proposal, or other written project documentation applicable to that purchase.
2. BRAND DESIGN SUPPORT PLANS
Grey Sky Graphics offers recurring Brand Design Support Plans designed for businesses and brands with an established visual identity that require ongoing creative support.
Current plans may include:
Essential
Up to 3 Design Pieces per billing cycle and 1 Active Project at a Time.
Grow
Up to 6 Design Pieces per billing cycle and up to 2 Active Projects at a Time.
Partner
Up to 10 Design Pieces per billing cycle and up to 3 Active Projects at a Time.
Enterprise
Up to 15 Design Pieces per billing cycle, unless otherwise agreed, and up to 4 Active Projects at a Time.
Enterprise may also include customized deliverables, expanded scopes, workflows, or services beyond the Standard Design Menu when expressly approved by Grey Sky Graphics.
3. DESIGN PIECES
A Design Piece means one eligible deliverable selected from our Design Menu & Scope within the limits of the Client’s selected plan.
For example:
- One presentation within the permitted number of slides = one Design Piece.
- One brochure within the permitted number of pages = one Design Piece.
- One packaging design within the permitted number of product variations = one Design Piece.
- One digital advertisement within the permitted number of sizes = one Design Piece.
A Design Piece does not mean unlimited pages, sizes, adaptations, variations, or formats.
Each plan includes its own maximum scope for each type of deliverable.
4. DESIGN MENU & SCOPE
The Design Menu & Scope displayed on the Website forms part of this Agreement.
The Design Menu specifies the available scope for eligible deliverables according to each plan and may define limits such as:
- Number of slides
- Number of pages
- Number of sections
- Number of formats
- Number of sizes
- Number of product variations
- Number of adaptations
- Number of individual items
- Overall complexity
The quantity and scope available depend on the Plan selected by the Client.
Projects exceeding the applicable Plan scope may require:
- An add-on
- Additional fees
- A higher Plan
- A custom quote
GSG will communicate any additional cost before proceeding with material work outside the purchased scope.
5. LARGE-FORMAT DELIVERABLES
Some projects require substantially more production time and are therefore considered Large-Format Deliverables.
These may include:
- Presentations / Decks
- Brochures
- Catalogs
- Multi-page editorial materials
- Packaging Design
- Extensive menus
- Other similarly complex deliverables
Unless otherwise stated:
- Essential: up to 1 Large-Format Deliverable per billing cycle
- Grow: up to 2
- Partner: up to 3
- Enterprise: up to 4
Projects exceeding these limits may require additional fees or a separate project quote.
6. ACTIVE PROJECTS
An Active Project is a Design Piece currently in active production, revision, or final preparation.
The number of simultaneous Active Projects depends on the selected Plan.
Submitting several requests at the same time does not mean that all requests enter production simultaneously.
Requests beyond the Plan’s Active Project capacity will remain in the production queue until capacity becomes available.
7. PRODUCTION QUEUE
Clients may submit multiple monthly requests in advance.
Requests will be scheduled according to:
- Client priority
- Active Project capacity
- Project complexity
- Content readiness
- Required production time
- Studio availability
Clients may indicate the preferred order of priority.
Grey Sky Graphics reserves the right to reasonably sequence projects in a way that protects quality and production efficiency.
8. TURNAROUND
Turnaround depends on the scope and complexity of each request.
Standard projects are generally prepared for initial review within approximately 2–7 business days after becoming Active, provided all required content and assets have been received.
More extensive projects may require additional production time.
A turnaround period begins only when:
- The project has officially entered Active status; and
- GSG has received all content, files, dimensions, specifications, approvals, and other materials required to begin.
Any timeline stated is an estimate unless expressly confirmed as a guaranteed deadline in writing.
9. MONTHLY PLANS
Essential, Grow, and Partner Monthly Plans require a:
3-Month Minimum Commitment
The Plan is billed monthly.
After the initial three-month commitment, the subscription continues on a month-to-month basis and automatically renews until canceled.
After the initial commitment has been completed, Client may cancel before the next scheduled billing date.
Cancellation does not provide a refund for a billing cycle already paid.
10. ANNUAL PLANS
Where available, Annual Plans include a reduced monthly rate in exchange for a:
12-Month Commitment
Unless otherwise stated:
- The Plan is billed monthly.
- Client commits to the complete 12-month term.
- Early cancellation does not eliminate remaining payment obligations.
- The subscription renews according to the renewal conditions disclosed at checkout.
The discounted Annual rate applies because the Client has committed to the full term.
11. ENTERPRISE PLAN
Enterprise requires a minimum:
12-Month Commitment
Enterprise is intended for organizations requiring an ongoing, customized creative partnership with dedicated production capacity.
The Plan may include customized:
- Deliverables
- Scope
- Production volume
- Approval processes
- Workflows
- Stakeholder coordination
- Department or campaign support
- Planning meetings
Enterprise Clients are not necessarily restricted to the Standard Design Menu.
Custom deliverables or expanded scopes may be approved according to business needs, production capacity, project complexity, and the terms agreed between GSG and Client.
12. UNUSED MONTHLY DESIGN PIECES
Unused monthly Design Pieces:
- Do not roll over into future billing cycles
- Cannot be accumulated
- Cannot be transferred
- Cannot be exchanged for cash
- Cannot be used retroactively
- Cannot be transferred to another account
unless GSG expressly agrees otherwise in writing.
Monthly capacity resets at the beginning of each new billing cycle.
13. REVISIONS
Unless otherwise stated, each Design Piece includes up to:
2 Revision Rounds
A Revision Round means one consolidated set of Client feedback submitted after reviewing a design.
Clients should consolidate feedback from all internal decision-makers before submitting each revision round.
Additional revisions may require an additional fee.
14. CHANGES OF DIRECTION
Revisions are intended to refine the approved design direction.
A substantial change to:
- Concept
- Format
- Content
- Structure
- Audience
- Size
- Product
- Campaign
- Creative direction
- Approved brief
may be considered a new Design Piece or additional scope rather than a revision.
GSG will notify the client before proceeding if additional charges apply.
15. CLIENT RESPONSIBILITIES
Client is responsible for providing all required materials in a complete and usable format.
This may include:
- Final copy
- Logos
- Brand guidelines
- Fonts
- Photography
- Product information
- Prices
- Specifications
- Dimensions
- Dielines
- Legal text
- Regulatory information
- References
- Existing brand assets
*Unless expressly purchased separately, content creation is not automatically included.
16. EXISTING BRAND IDENTITY
Brand Design Support Plans are intended primarily for businesses that already have an established visual identity.
These plans do not automatically include:
- Logo creation
- Logo redesign
- Rebranding
- Naming
- Brand strategy
- Complete visual identity development
- Creation of a complete brand guideline system
These services may be contracted separately through Grey Sky Graphics.
17. CLIENT DELAYS
Production depends on timely Client participation.
Missing content, delayed approvals, incomplete feedback, missing files, or delayed decisions may affect timelines.
Client-caused delays do not automatically extend:
- Monthly billing cycles
- Subscription periods
- Monthly Design Piece allowances
Minimum commitment periods
18. APPROVALS
Client is responsible for reviewing and approving all final materials, including:
- Copy
- Names
- Spelling
- Prices
- Dimensions
- Product information
- Legal text
- Technical information
- Regulatory information
- Final artwork
GSG is not responsible for errors that were presented to and approved by Client.
19. SERVICES OUTSIDE THE SUBSCRIPTION
Unless expressly included, Brand Design Support Plans do not include:
- Full Branding Projects
- Naming
- Brand Strategy
- Website Development
- Photography Production
- Video Production
- Motion Design
- Printing
- Fabrication
- Installation
- Copywriting
- Translation
- Media Buying
- Advertising Spend
- Social Media Management
- Community Management
- Third-Party Services
These services may be purchased separately when available.
20. SHOP — ONE-TIME CREATIVE SERVICES
The Website may offer individual creative services as one-time purchases.
Each one-time project is governed by:
- The product description
- Selected options
- Included scope
- Revision allowance
- Estimated turnaround
- Applicable add-ons
- This Agreement
Any work outside the purchased scope requires Client approval and may incur additional charges.
21. DIGITAL PRODUCTS & TEMPLATES
Grey Sky Graphics may sell downloadable digital products under The Grey-ness or other Shop categories.
Digital products may include:
- Workbooks
- Brand strategy frameworks
- Brand guideline templates
- Presentation templates
- Creative direction tools
- Client briefs
- Project management templates
- Proposal templates
- Other editable digital resources
Digital products are pre-designed resources and do not include customized services from Grey Sky Graphics unless explicitly stated.
22. DIGITAL PRODUCT DELIVERY
Digital products are delivered electronically.
Access may be provided:
- Immediately after payment
- Through Client’s account
- Through a download link
- By email
- Through another digital delivery method
Client is responsible for downloading and safely storing purchased files.
23. DIGITAL PRODUCT LICENSE
Purchase of a Grey Sky Graphics template or digital resource grants Client a limited, non-exclusive license to use and customize the product for:
- Client’s own business
- Internal business use
- Client work where expressly permitted
Purchase does not transfer ownership of the original template or intellectual property to the client.
24. PROHIBITED USE OF TEMPLATES
Unless GSG expressly authorizes otherwise, Client may not:
- Resell the original template
- Redistribute the template
- Share source files publicly
- Upload the resource to template marketplaces
- Sell copies as a digital product
- Claim authorship of the original template
- Sublicense the original template
- Give purchased files to unrelated third parties
- Reproduce the resource primarily for resale
Customized output created using a template for Client’s own legitimate work is permitted subject to the applicable license.
25. DIGITAL PRODUCT REFUNDS
Because digital products provide immediate access to downloadable intellectual property, digital purchases are generally final once access or download has been provided, except where refunds are required by applicable law.
If a technical issue prevents Client from accessing a purchased file, Client should contact GSG so access can be restored.
26. INTELLECTUAL PROPERTY CUSTOM SERVICES
Upon full payment, Client receives rights to the final approved custom deliverables created specifically for Client, subject to any third-party licenses.
Grey Sky Graphics retains ownership of:
- Rejected concepts
- Unused concepts
- Drafts
- Internal working files
- Internal systems
- Templates
- Processes
- Methods
- Proprietary tools
- Pre-existing assets
- Know-how
unless otherwise agreed in writing.
27. EDITABLE / SOURCE FILES
Editable or source files are included only when specifically stated in the applicable service.
GSG is not required to provide:
- Internal working documents
- Unused design concepts
- Development files
- Proprietary templates
- Internal systems
unless expressly included.
28. THIRD-PARTY MATERIALS
Certain projects may require third-party assets such as:
- Fonts
- Stock photography
- Mockups
- Illustrations
- Plugins
- Licenses
- Printing
- Production services
Third-party fees are not included unless specifically stated.
GSG will request approval before incurring material third-party costs on Client’s behalf.
29. PRINTING & PRODUCTION
Unless specifically purchased, Shop and subscription pricing covers design services only.
Printing, fabrication, installation, manufacturing, shipping, and vendor costs are separate.
Client is responsible for reviewing and approving production proofs where applicable.
30. PAYMENT
Client agrees to pay all fees displayed at checkout or otherwise agreed in writing.
This may include:
- Subscription fees
- One-time service fees
- Digital product purchases
- Add-ons
- Additional scope
- Applicable taxes
- Approved third-party expenses
Recurring subscriptions authorize GSG or its payment processor to automatically charge the payment method provided according to the selected billing schedule.
31. FAILED PAYMENTS
If a recurring payment fails, GSG may suspend active services until payment is resolved.
Production may be paused and timelines adjusted accordingly.
Continued payment failure may result in cancellation of services, subject to any outstanding contractual commitments.
32. CANCELLATION
Cancellation terms depend on the purchased Plan.
Cancellation does not retroactively cancel:
- Amounts already paid
- Work already completed
- Existing minimum commitments
- Previously approved additional fees
No partial refund is provided solely because the client did not use all available capacity during a billing period.
33. PRICE CHANGES
GSG may update prices from time to time.
Active fixed-term commitments will follow the price terms applicable to their current contract period unless otherwise expressly permitted in the applicable agreement.
Clients will receive reasonable notice of material pricing changes applicable upon renewal.
34. SUSPENSION OR TERMINATION
Grey Sky Graphics may suspend or terminate services if Client:
- Fails to make payment
- Materially violates this Agreement
- Repeatedly exceeds agreed scope without authorization
- Requests illegal or infringing work
- Engages in abusive or threatening behavior
- Misuses GSG intellectual property
Where reasonably possible, GSG will provide Client an opportunity to correct the issue.
35. PORTFOLIO RIGHTS
Unless confidentiality has been agreed in writing, Grey Sky Graphics may display completed custom work through:
- Our Website
- Portfolio
- Social media
- Behance
- Presentations
- Case studies
- Awards
- Marketing materials
Confidential or unreleased projects may be withheld until public launch where appropriate.
36. CONFIDENTIALITY
GSG will use reasonable care to protect confidential information provided by Client.
Client agrees to clearly identify particularly sensitive or confidential materials where appropriate.
Projects requiring additional confidentiality protection may be governed by a separate NDA.
37. CLIENT WARRANTIES
Client represents that it has the necessary rights and permissions to use all materials supplied to GSG.
Client is responsible for obtaining applicable rights to:
- Copy
- Logos
- Trademarks
- Photography
- Illustrations
- Fonts
- Product claims
- Intellectual property
- Other supplied materials
38. PROFESSIONAL & REGULATORY REVIEW
Grey Sky Graphics provides creative and design services.
We do not provide legal, accounting, medical, regulatory, tax, or financial advice.
Where a project contains regulated claims, legal language, labeling requirements, or other specialized information, Client is responsible for obtaining appropriate professional approval.
39. NO GUARANTEE OF BUSINESS RESULTS
Grey Sky Graphics does not guarantee specific:
- Revenue
- Sales
- Leads
- Conversion rates
- Brand awareness
- Market performance
- Advertising performance
- Business growth
Creative services support Client’s communication and brand objectives but business outcomes depend on factors beyond GSG’s control.
40. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Grey Sky Graphics’ total liability arising from any service or product shall not exceed the amount paid by Client for the specific service, product, or applicable period giving rise to the claim.
Where legally permitted, GSG shall not be liable for indirect, incidental, special, consequential, or lost-profit damages.
41. INDEMNIFICATION
Client agrees to indemnify and hold Grey Sky Graphics harmless against third-party claims resulting from:
- Materials supplied by Client
- Client instructions
- Unauthorized use of third-party intellectual property
- Client product claims
- Client’s unlawful use of final deliverables
to the extent permitted by applicable law.
42. FORCE MAJEURE
Neither party will be responsible for delays caused by events reasonably outside its control, including major service outages, natural disasters, governmental restrictions, infrastructure failures, severe illness, or other force majeure events.
43. CHANGES TO SCOPE OR SERVICES
Project-specific changes may be agreed through:
- Written approval
- Additional checkout purchase
- Add-on
- Order Form
- Proposal
- Statement of Work
- Change Order
When a specifically negotiated written agreement conflicts with this general Agreement, the specifically negotiated agreement controls for that project.
44. GOVERNING LAW
This Agreement will be governed by the laws of the State of California, without regard to its conflict-of-law principles.
Any dispute arising from this Agreement will be handled in the state or federal courts located in Orange County, California, unless another dispute-resolution process is agreed in writing.
45. ENTIRE AGREEMENT
This Agreement, together with any applicable:
- Product description
- Design Menu & Scope
- Subscription selection
- Checkout information
- Proposal
- Order Form
- Statement of Work
- Add-on
- Written amendment
constitutes the agreement between Client and Grey Sky Graphics regarding the applicable purchase.
46. ACCEPTANCE
By checking the acceptance box at checkout, placing an order, beginning a subscription, approving a proposal, submitting payment, or authorizing Grey Sky Graphics to begin work, Client agrees to be bound by this Service Agreement.
